Terms and Conditions of Use

1. Preface

By logging on and utilizing this Internet website with domain name endless-tours.com, property of EndLess Tours SA de CV, who hereinafter shall be referred to as “EndLess Tours”, the user thereby accepts the Terms and Conditions of Use contained in this agreement, and by utilizing the electronic mediums herein, the user expressly manifests his acceptation of the terms stipulated in Article 1803 of the Federal Civil Code.

If the user does not absolutely and completely accept the terms and conditions of this agreement, user must abstain from accessing, utilizing and perusing the endless-tours.com website.

If the user accesses, utilizes and peruses the endless-tours.com website, it will be considered as an absolute, explicit acceptation of the Terms and Conditions of Use as stipulated herein.

The simple fact of utilization of this Internet page grants the public viewer the condition of user (hereinafter referred to as the “user” or “users”) and, from the moment in which user enters this website, such access implies full and unconditional acceptance of each and every one of the general and specific conditions included in these Terms and Conditions of Use published by EndLess Tours.

This is an Adhesion Agreement for the use of the Internet webpage called endless-tours.com, entered into by and between EndLess Tours and the user, both parties being subject to the stipulations set forth in this document.

EndLess Tours reserves the right to partially or totally block access or remove all information, communications or material that, in its exclusive judgment, could result in being: i) abusive, defamatory or obscene; ii) fraudulent, misleading or deceitful; iii) a violation of copyrights, trademarks, confidentiality, trade secrets or any right to intellectual property of a third party; iv) offensive; or v) that in any way infringes on the stipulations of this agreement.  If the user wishes to obtain more information on a specific topic provided by EndLess Tours or its suppliers, he should consult directly with each one of them, as the case may be, and/or with a specialist on the subject.

In case the user conveys to EndLess Tours any information, programs, applications, software or in general any material that requires being licensed through the endless-tours.com website, the user thereby grants EndLess Tours a perpetual, universal, free-of-charge, non-exclusive, worldwide, royalty-free license that includes the right to sublicense, sell, reproduce, distribute, convey, create derivative work, and the right to publicly exhibit and make use of them.

User acknowledges and accepts that EndLess Tours is an organization which is independent from third-party sponsors and advertisers whose information, images, advertisements and other publicity or promotional material (hereinafter, “advertising material”) may be published on the endless-tours.com website.

User acknowledges and accepts that advertising material does not form part of the main content that is published on this website.  In addition, user hereby acknowledges and accepts that such material is protected by all applicable laws regarding intellectual and industrial property. 

8. Disavowal of Guarantees

The user therefore agrees to periodically review this agreement in order to keep informed of said modifications.  Notwithstanding the foregoing, every time the user logs onto the website, it will be construed as an absolute acceptance of the modifications of the agreement herein.

12. Additional Terms

From time to time, EndLess Tours may include in the Terms and Conditions of Use of this agreement, additional provisions related to specific areas or new services to be provided in or through the endless-tours.com website (hereinafter referred to as “additional terms”), which will be published in the specific areas or in the new services offered on the website for the user to read and accept.  User acknowledges and accepts that, for all legal purposes, these additional terms will be integrated into the agreement herein.

13. Assignment of Rights

At any moment and whenever deemed necessary, EndLess Tours may totally or partially assign the rights and obligations that are derived from this agreement.  By virtue of said assignment, EndLess Tours will remain free of all obligations to the user, as set forth under the terms of this agreement. 

14. Indemnity

User agrees to indemnify EndLess Tours, its affiliates, suppliers, salespersons and consultants for any legal action, lawsuit or claim (including lawyer fees and court costs) stemming from the breach of this agreement by the user, including without limitation any of the derivatives of:

a) Any aspect related to the use of the endless-tours.com website.

b) The information contained or made available though this website or stemming from user abuse, defamation or any other conduct that breaches this contract during the use of this webpage. 

c) Infringement of applicable laws or international treaties related to copyrights or intellectual property rights which are contained or made available in or through this website.   

15. Termination

At its exclusive discretion and with no need to give user warning or notification thereof, EndLess Tours reserves the right, to:

a)  Definitively terminate this agreement.

b)  Definitively discontinue or cease publishing the endless-tours.com website with no liability whatsoever for EndLess Tours, its affiliates or suppliers. 

16. Legal Continuity

These Terms and Conditions of Use, as well as the additional terms, constitute the entire agreement between the parties, and replaces any other agreement or contract that had been previously entered.  Any clause or provision of this agreement, as well as the additional terms, that are legally declared invalid will be eliminated or modified at the discretion of EndLess Tours, in order to correct such flaw or defect.  However, the rest of the clauses or provisions will continue to remain valid, in force and legally binding. 

17. No Waiver of Rights

The inaction of EndLess Tours, its affiliates or suppliers to exercise any right or legal action stemming from this agreement shall at no time be construed as a waiver of said rights or actions. 

18. Jurisdiction and Applicable Legislation. 

This agreement shall be subject to and be interpreted in accordance with the law, before the courts of the Federal District, Mexico.
